We offer legal services for transactions involving the purchase of shares, including shares of companies listed on the Warsaw Stock Exchange. We support clients in purchasing enterprises, their organized parts and individual assets, including real estate.
We provide legal assistance at all stages of the transaction, i.e.:
- we advise on the selection of the optimal tax and organizational transaction model,
- we conduct an examination of the legal status of the subject of the transaction (due diligence),
- we prepare full transaction documentation, including draft contracts, letters of intent and corporate deeds,
- we represent the client in negotiations,
- we represent clients in proceedings before bodies whose consents or permits are required to carry out the transaction, in particular we appear before the President of the Office of Competition and Consumer Protection,
- we provide legal support in achieving the assumed goals of the transaction, such as restructuring entities or introducing an investor.
Our competences also include carrying out merger and division processes both in relation to private and public companies, taking into account the requirements arising from capital market regulations.
