Mergers and acquisitions

We offer legal services for transactions involving the acquisition of shares or stocks, including the shares of companies listed on the Warsaw Stock Exchange. We support Clients in purchasing enterprises, their organized parts and individual assets, including real estate.

We provide legal assistance at all stages of a transaction, i.e.:

• we advise on the selection of the optimum tax and organisational transaction model,
• we conduct legal research of the subject of the transaction (due diligence),
• we draft full transaction documentation, including drafts of agreements, letters of intent and corporate acts,
• we represent Clients in negotiations,
• we represent Clients in proceedings before authorities whose consents or permits are required to carry out the transaction, in particular, we appear before the President of the Office of Competition and Consumer Protection,
• we provide legal support in the achievement of the assumed goals of the transaction, such as the restructuring of entities or the introduction of an investor.

Our competences also include carrying out merger and division processes both in relation to private companies and public companies, with the consideration of the requirements resulting from capital market regulations.
